What you will do
Role Overview:

The Project Counsel will provide legal advice to EDPR NA DG personnel regarding all aspects of distributed solar generation and storage project development, construction, and operations. The Project Counsel will prepare and negotiate power purchase agreements, capital equipment supply and warranty agreements, construction agreements, operations and maintenance agreements, engineering service agreements, consulting service agreements, development agreements and other relevant documentation, all in accordance with EDPR NA DG objectives and policies. The Project Counsel will also handle day to day project-related legal issues and provide legal expertise to Company staff and analyze exposure to risk factors while complying with departmental guidelines and all applicable laws in order to ensure that EDPR NA DG's project documents and activities meet all applicable requirements.

Main responsibilities:

  • Provide legal expertise and support to EDPR NA DG staff in the development, execution, administration, and operations of distributed solar generation and storage projects.
  • Work with development project teams throughout the development process by providing legal advice on issues as they arise and providing solutions that meet project objectives while complying with departmental guidelines.
  • Develop, review, and recommend changes to legal aspects of project documents to improve efficiency and risk mitigation.
  • Timely prepare, negotiate and finalize various project agreements including power purchase agreements, capital equipment supply and warranty agreements, construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, filings, and applications to various local, state, and federal agencies (including FERC).
  • Manage external legal resources to ensure efficient and effective completion of tasks.
  • Support EDPR NA DG's project documentation and compliance functions.
  • Coordinate efforts with other legal and management staff regarding corporate and project requirements to ensure maximum value and appropriate risk management for EDPR NA DG and its owners.
  • Identify critical project risk issues and make recommendations to EDPR NA DG's senior management regarding resolution/management.
  • Support project financing and sale processes, including assisting in due diligence efforts.
  • Additional duties as required.

What are we looking for
Minimum Requirements:

  • Juris Doctorate
  • 4-6 years of law firm or in-house counsel experience with emphasis on document drafting and negotiation.
  • Experience in project development handling development, construction, and operations of projects, preferably distributed generation projects.
  • Licensure to practice law in at least one state, preferably Texas or Indiana.
  • Knowledge of a wide variety of project development contracts including construction agreements, operation and maintenance agreements, engineering and consulting services agreements, confidentiality agreements, purchase agreements, and other relevant documentation along with the manner in which corporate entities operate and are organized within the power industry.
  • Project finance and/or tax equity financing experience preferred.
  • Understanding of Microsoft products and/or complementing products preferred.
  • Competency in Analytical Problem Solving, Strong Communication, Customer/Partner Relationships, and Technology Expertise preferred.

Travel:

Up to 10%

  • Lifting: Ability to lift items weighing up to 10 pounds

  • Speech: Ability to interpret, deliver, and follow a variety of instructions furnished in written, oral, diagram, or schedule form; fluent English verbal and written communication skills
  • Safety: Ability to understand and communicate safety precautions when necessary
