- As Associate Counsel, M&A, you will serve as a trusted legal and business advisor to senior executives and cross-functional leaders, helping shape the organization's most important strategic initiatives. This highly visible role plays a critical part in supporting mergers and acquisitions, corporate development activities, corporate governance matters, securities compliance, and other business-critical transactions that drive long-term growth.

Working closely with Executive Leadership, Corporate Development, Finance, Treasury, Investor Relations, Human Resources, and other key stakeholders, you will help facilitate strategic decision-making and enable successful execution of high-impact initiatives.

What You'll Do In this role, you will have the opportunity to:
- Lead and support strategic transactions, including mergers, acquisitions, divestitures, joint ventures, strategic alliances, and investment opportunities.
- Manage all phases of the transaction lifecycle, including deal structuring, due diligence, negotiation, regulatory approvals, closing activities, and post-closing integration.
- Advise executive leadership and business partners on complex corporate, governance, securities, and transactional matters.
- Draft, negotiate, and review a broad range of corporate, commercial, technology, licensing, and strategic partnership agreements.
- Collaborate with cross-functional teams across Corporate Development, Finance, Accounting, Treasury, Tax, Human Resources, Operations, Technology, and Investor Relations to support business objectives.
- Support securities-related matters, including financing transactions, debt and equity offerings, SEC compliance obligations, and capital markets activities.
- Provide guidance on domestic and international corporate governance, entity management, and cross-border business activities.
- Contribute legal expertise to strategic and operational initiatives while helping identify and mitigate legal, regulatory, and business risks.
What You Will Bring Required Qualifications
- Juris Doctor (J.D.) degree.
- Minimum of five (5) years of legal experience with significant experience in mergers and acquisitions, strategic transactions, and corporate law.
- Demonstrated experience managing complex transactions, including acquisitions, divestitures, joint ventures, strategic alliances, investments, and related corporate initiatives.
- Experience conducting legal due diligence, negotiating transaction documents, managing deal execution, and supporting post-closing integration efforts.
- Strong knowledge of corporate governance principles and business law.
- Experience advising public companies on securities law matters, including SEC reporting and disclosure requirements, Securities Act compliance, Securities Exchange Act compliance, and SOX requirements.
- Excellent negotiation, communication, analytical, and relationship management skills.
- Ability to effectively partner with senior executives and cross-functional stakeholders on complex business matters.
Preferred Qualifications
- Experience supporting debt financings, publicly traded debt programs, equity programs, and other capital markets transactions.
- Experience advising on executive compensation, employee stock purchase plans, and board governance matters.
- Experience supporting domestic and international subsidiaries and corporate entity management.
- Experience with international and cross-border transactions, operations, and governance matters.
- Healthcare, technology, or other highly regulated industry experience.
- Experience handling intellectual property, licensing, and real estate matters.
- Prior experience supporting publicly traded companies in a sophisticated corporate legal environment.
Compensation The salary range for this position is $165,000-$180,000. Actual compensation is based on experience, skills, education, work location, and internal equity. This position may also be eligible for incentive compensation and the comprehensive benefits outlined in the My Total Value section.
