Overview
As our SEC Compliance & Corporate Governance Specialist, you'll play a vital supporting role in keeping our governance and regulatory processes running smoothly and thoughtfully. You'll work closely with our Legal, Finance, and Leadership teams to assist with SEC filings, maintain accurate corporate records, and support Board and committee activities. This role offers the flexibility of working a hybrid schedule from home and in our San Diego office (2 days on-site).
Responsibilities
SEC Compliance & Disclosure
Assists with the maintenance of beneficial ownership spreadsheet and the preparation of Section 16 reports (Forms 3, 4, and 5), including simple to moderately complex SEC current reports (Form 8-K).
- Creates skeleton of SEC Proxy Statement (Form DEF 14A), by updating standard information such as dates, entity names, and director/officer details, and coordinates with senior staff for technical review and completion.
- Provides back-up support for insider trading compliance and programs.
Corporate Governance
- Prepares, files, and maintains annual state filings (e.g. statement of information, annual reports) and quarterly reports for U.S. entities; with assistance of local counsel/service provider as needed.
- Develops policies and procedures for required filing and information gathering
- Coordinates with Finance Team to ensure accuracy of corporate records and filings.
- Prepares and maintains company and subsidiary corporate records.
- Supports documentation and maintenance of intercompany agreements.
- Builds and analyzes reports to deliver insights, highlight risks, and support data-driven decision-making.
- Maintains governance software platform(s), ensuring data integrity and system functionality.
- Gathers business and legal requirements to configure and implement system updates effectively, as well as drive platform improvements.
- Stays abreast of company's governance software platform(s)'s features, functionality, and new trends.
- Prepares supporting materials for Board meetings and corporate actions, including board and committee agendas, resolutions, meeting minutes, written consents, board and committee self-evaluation questionnaires, and director compensation plan elections.
- Prepares initial drafts of simple documents for audits, committee meetings, and regulatory filings.
Others
- Organizes and maintains litigation matter database for non-IP matters.
- Coordinates with TPA (third party administrator) for management of both small claims and insured litigation claims; liaises with Quality, R&D, Marketing and Sales departments in the handling/coordination of consumer claims.
- Provides general administrative and back up support for contract administration function, including initiating workflow and routing contracts for appropriate approval and signature in the company's contract management system.
Qualifications
- Bachelor's degree in Business Administration, Legal Studies, Political Science, or related field.
- 3+ years of experience in legal administration, corporate governance, or compliance support role.
- Experience with public company Board & committee support, SEC reporting requirements, and filing processes.
- Understanding of SEC reporting requirements including Forms 8-K, DEF 14A, and Section 16 filings.
- Familiarity with corporate entity management and state filing requirements.
- Paralegal certificate beneficial, particularly with corporate/securities focus.
- Strong organizational skills and attention to detail.
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint) and strong math skills.
- Ability to handle confidential information with discretion.
- Excellent written and verbal communication skills.
- Experience with document management systems, compliance tracking tools, and/or legal entity management systems is desirable.
