Sr Atty-Securities & Corp Law

POSITION OVERVIEW:
Provide legal counsel on matters relating to a broad range of securities and corporate law matters.

ESSENTIAL JOB DUTIES/RESPONSIBILITIES:
1. Assist in the development of various corporate policies and programs, including Board committee charters, Corporate Governance Guidelines and insider trading and Regulation FD compliance
2. Provide drafting and other support with respect to Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, proxy statements, registration statements, earnings releases and other investor communications
3. Provide legal support to the Board of Directors and its committees, including developing meeting agendas and preparing minutes and other materials for meetings
4. Provide legal support on debt and equity financings and other corporate finance transactions
5. Provide legal support with respect to equity-based compensation plans, executive compensation matters, and Section 16 compliance
6. Monitor and maintain awareness of pending securities law and corporate governance regulations and developments
7. Comply with all applicable laws/regulations, as well as company policies/procedures
8. Perform other duties as required

QUALIFICATIONS:
* Juris Doctorate degree from an A.B.A. accredited law school and appropriate admission to required state bar plus six (6) years' experience and demonstrated competence as a practicing attorney in a law firm or in-house setting with primary emphasis on public company reporting and governance matters and capital markets transactions
* Excellent interpersonal and relationship-building skills
* Strong written and verbal communication skills
* Ability to understand and resolve complex legal issues and respond quickly to clients and third parties
* Excellent organizational and time management skills, strong initiative and ability to prioritize multiple assignments and meet deadlines
* Strong research and analytical skills

Additional Details: This position will be domiciled at a FedEx Freight location in Memphis, TN. You will be required to work at a FedEx Freight location several times per week.
