We are seeking a Senior Corporate Counsel to join our team. This is a hybrid opportunity based out of Waltham, MA.

Job Summary

Imprivata is seeking a motivated and detail-oriented Senior Corporate Counsel to join its collaborative legal team. This role is ideal for an attorney who thrives in a complex, high growth environment, looking to be deeply embedded with commercial teams to advance Imprivata's strategic objectives while managing risk. The Senior Corporate Counsel will deliver timely, practical legal advice to cross functional stakeholders and senior leadership across a broad range of legal matters, with a primary focus on commercial contracting and technology-related legal issues. Duties and Responsibilities

  • Draft, review, and negotiate customer-facing commercial agreements, including SaaS subscription agreements, order forms, amendments, and reseller agreements.
  • Support sales, channel, procurement and third-party risk management teams and manage deal flow, escalations and approvals.
  • Liaise with domestic and international business units at all levels throughout the organization in support of legal and compliance initiatives.
  • Analyze complex legal and business issues, identify risks, including with respect to data privacy, information security and regulatory considerations applicable to technology companies and develop practical, actionable solutions.
  • Coordinate with security, privacy and compliance teams to translate risk assessments into commercially reasonable contractual protections.
  • Identify process improvements and efficiencies including developing and refine templates and playbooks to allow the legal team to scale with the business.
  • Assist other legal team members with overflow work and other duties as assigned and required.

Qualifications

  • JD from an ABA-accredited law school and admission to at least one U.S. state bar.
  • 6+ years of substantive commercial transactional experience preferably a combination of law firm and in-house experience at a SaaS or technology company.
  • Experience drafting and negotiating various software license agreements, partner and reseller agreements, vendor agreements and intercompany agreements. Thorough understanding SaaS deal flow, commercial contracting practices and relevant global regulations.
  • Excellent business judgment and the ability to identify issues, assess risk, and recommend practical solutions. Operate effectively with minimal supervision, using sound judgment and critical thinking to balance competing priorities and develop practical solutions that align legal and business considerations.
  • Familiarity with privacy and data protection laws, regulations and standards, including GDPR and PIPEDA, US data privacy laws both state and federal (e.g. HIPAA/HITECH and CCPA/CPRA).
  • Understanding of ethical AI principles and IP issues arising from AI usage as it relates to commercial agreements.
  • Exceptional written, verbal, and interpersonal communication skills with the ability to translate legal concepts for non-lawyers. Proactive, ownership-oriented mindset with a strong sense of accountability.

This position offers a total compensation range of $178,500.00 to $189,000.00 (inclusive of base salary and variable compensation, such as bonuses and incentives). In addition, more information about Imprivata's benefit offerings can be found here. This range represents the high and low end of Imprivata's compensation range for this position. Actual compensation will vary and may be above or below the range based on various factors, such as a candidate's location, skills, experience, and qualifications.
