Position Purpose |
The Associate General Counsel and Director for Real Estate Transactions will provide broad-based real estate law counseling advice regarding all aspects of Dartmouth's real estate portfolio and will play a key role in identifying, developing, and providing financial analysis of real estate development opportunities to achieve the College's strategic goals. The position reports to the
AVP of Real Estate and Special Counsel and ultimately to the General Counsel as a member of the Office of the General Counsel team. |

- Bachelor's degree with excellent academic credentials
- JD from nationally recognized law school with excellent academic credentials
- Ten years of experience in real estate law
- Minimum of 7-10 years of experience in real estate investment, development, asset management, or private equity.
- Excellent oral and written communication skills.
- Financial modeling, valuation, and underwriting skills.
- In-depth knowledge of various real estate asset classes.
- Knowledge of higher education real estate strategies.

Key Accountabilities
Description |
Legal Advice and Representation
- Provides legal advice to Campus Services and other divisional College administrators on a wide variety of real estate and facilities matters including construction, development and capital renewal projects, acquisitions and sales, residential and commercial leases, ground leases, easements and licenses, purchase options, commercial finance, title matters, and related zoning and permitting.
- Drafts and negotiates contracts and provides legal advice regarding negotiation strategy and deal structure for development projects.
- Represents, or coordinates representation with outside counsel, the College in proceedings before local planning and zoning boards in in connection with work relating to new construction and capital renewal projects and assists as needed with permitting application materials.
- Provides advice on real property tax related issues, approaches and strategy, exemption filings, abatements, and related matters.
- On behalf of the Office of General Counsel, manages, with the assistance of outside counsel, College litigation matters relating to real property and facilities owned by the College. Serves as liaison with outside counsel, coordinates and conducts internal case preparation efforts and research activities, develops strategies, and reviews and authorizes billings for services.
- Acts as a member of the Office of General Counsel team while supporting the strategic direction and implementation of Dartmouth's campus stewardship to support the mission of the College through Campus Services.
- Performs other duties in other legal service areas - including but not limited to litigation management, policy formulation, and leadership - as needed to advance the effective operation of the Office of the General Counsel, as assigned at the discretion of the General Counsel.

Description |
Real Estate Development and Transactions
- Identifies development opportunities and financing models to utilize existing holdings to meet existing strategic goals.
- Develops and executes plans for monetizing real estate assets and creating liquidity for other development opportunities
- Conducts due diligence, market research, and financial modeling to evaluate potential real estate acquisitions, dispositions, and development opportunities.
- Assists in structuring joint ventures, partnerships, and other investment vehicles to optimize returns and align transactions with institutional goals.
- Monitors real estate market trends, economic indicators, metrics, and regulatory changes that may impact or influence the College's repositioning of land assets.
- Ensures College assets are fit for purpose and zoned properly for new or expanded use.
- Leads feasibility studies for new project opportunities, including cost-benet assessments.
- Works with College financial analyst and outside consultants, as necessary, to prepare proforma financial reports and presentations for senior leadership and stakeholders.
- Ensures compliance with College policies and finance guidelines.
- Collaborates with College property managers, planners, and project managers, and with developers, brokers, consultants, entitlement authorities, legal advisors and community groups to execute and manage initiatives.
