We are looking for an Associate General Counsel, Global Tax Planning and Legal, to join our tax planning and legal team. This role will report to the Sr. Managing Associate General Counsel, Global Tax Planning and Legal. The candidate should have Big 4 and/or law firm experience, and should have exposure to all areas of US federal income tax law, including matters of corporate income tax, partnership tax, international tax, capital markets, treasury matters, and mergers and acquisitions. This role will be based at the company's headquarter in Basking Ridge, New Jersey. The successful candidate must be comfortable directly liaising with various business teams within the company, located both locally and overseas, and collaborating extensively with other teams within the Verizon Tax organization. It requires strong business acumen as well as being practical and solutions oriented with a desire to develop comprehensive tax solutions. This role is responsible for helping the business achieve its objectives while mitigating tax risks for the company. This role supports the development and execution of strategies for global tax optimization. This person will also lead a team with responsibility for legal entity rationalization and work with the controller, legal, and treasury groups to ensure a tax efficient capital and legal structure as the company continues to evolve. As a key business partner, this person and his/her team will work with local countries to ensure tax compliance and to provide technical support on non-U.S. tax audit and controversy matters. Specifically, the responsibilities include:
- Supporting the development and execution of strategies for tax optimization including identifying, evaluating, coordinating, and implementing tax savings opportunities (cash tax and ETR planning).
- Partnering with the business units and providing tax support for new products and business initiatives in an ever-changing business and tax landscape; experience with treasury issues and capital market transactions a plus.
- Providing support for special projects which may include mergers and acquisitions, dispositions, transaction structuring, tax due diligence, negotiation of relevant tax provisions, and financing transactions.
- Partnering with tax audit teams to respond to information requests and develop technical arguments in support of Verizon's positions.
- Supporting Verizon's tax accounting and compliance initiatives as needed.
- Legal entity rationalization and capital structure planning.
- Monitoring and analyzing regulatory and compliance developments and tax law changes to assess impact to the company.
- Performing research and providing technical guidance on all aspects of US international and non-U.S. tax and compliance (e.g., CAMT, section 163(j), subpart F, GILTI, FDII, BEAT, foreign tax credits, country-by-country reporting, OECD Pillar One and Pillar Two, transfer pricing, etc.).
- Provide technical and strategic support for non-US tax audit & controversy and support the international tax and transfer pricing issues on US tax audits and controversy.
- Select and manage relationships with outside service providers including communicating deadlines, setting expectations, and managing budget.
A successful candidate must:
- Have a strong understanding of income tax laws and regulations and an understanding of transactional taxes (e.g., sales/use, VAT, GST, DST, etc.) that can impact tax planning initiatives and M&A transactions.
- Possess the ability to think strategically while also engaging in normal day-to-day tactical details.
- Be able to understand and analyze the tax consequences of complex transactions in a deadline-driven, dynamic and collaborative environment and to evaluate and effectively communicate the inherent tax risks associated with such transactions, including the ability to communicate complex tax concepts in a way that is meaningful and actionable to tax and non-tax professionals alike.
- Be able to think practically and proactively to assist the business in achieving their business objectives while mitigating tax risks.
- Be inquisitive, enthusiastic, collaborative, enjoy being continually challenged, and demonstrate sound judgment even in ambiguous situations.
- Manage complex, fast-moving, and unexpected challenges with sound judgment and professionalism.
- Create and maintain a close working relationship with tax colleagues located in the US and globally as well as with external stakeholder teams (e.g., business unit personnel, corporate development, accounting, treasury, and legal) to communicate current and future business plans, provide cross- functional tax subject matter input and ensure coordination and execution of cross-functional tax solutions in a sustainable manner while mitigating tax risk.
- Be a strong developer of people and talent and have the ability to manage people and teams in person and virtually.
Basic qualifications:
- 10+ years of progressive tax experience with exposure to income and transaction taxes in a Big 4 accounting firm, major law firm and/or multinational corporation.
- JD required; undergraduate degree in Accounting or Finance preferred; LL.M. Tax preferred.
- Admission and good standing in at least one state (if not New Jersey, then eligibility for Jew Jersey In-House Counsel Limited Licensure).
- Experience with of ASC 740 (Income Taxes) with emphasis on FIN 48 and APB 23 as well ASC 450 (Contingencies).
- Experience with SOX 404 and internal controls.
- Experience with OECD and EU tax initiatives including Pillar One and Pillar Two, BEFIT proposal, DAC 6 Mandatory Disclosure Rules, country-by-country reporting, etc.
- Excellent written and oral communication skills.
- Strong public speaking skills, with strong experience presenting detailed, technical material to both experts and general business personnel.
- Experience successfully leading complex, milestone driven projects, including the ability to work effectively within a cross-functional team.
- Detailed-oriented individual who takes ownership of projects, is organized, possesses excellent analytical and problem-solving skills and is able to deliver on tight deadlines.
In this hybrid role, you'll have a defined work location that includes work from home and a minimum eight assigned office days per month that will be set by your manager.
