Position Summary: The Contracts Director is responsible for leading the organization's contract negotiation, execution, and oversight processes across governmental, carrier, vendor, and other funding and service agreements spanning an estimated value of $50-60M. Reporting to the Chief Financial Officer, the Contracts Director ensures contractual arrangements align with organizational goals, regulatory requirements, and risk mitigation priorities. This role collaborates with program leaders, legal counsel, development, finance, billing, and quality assurance to facilitate agreements that protect VOA Oregon's interests, maximize value, and enable service delivery. The Contracts Director provides subject matter expertise on legal and contractual risk, develops internal protocols for contract lifecycle management, and ensures timely contract synopses, analysis and recommendations for management review.

Education, Training and Experience:



  • Bachelor's degree in Business Administration, Communications, or a related field, or a combination of education, training, and experience that demonstrates comparable expertise.
  • 5+ years of experience in contract negotiation and contract lifecycle management.
  • Experience negotiating and managing contracts with public and private organizations, including funders, vendors, and service partners.
  • Demonstrated ability to represent organizational interests and articulate complex issues clearly in negotiations and written documents.
  • Experience using contract management software, maintaining credentialing systems, and overseeing regulatory compliance in contracts.
  • Familiarity with healthcare-related regulations (e.g., HIPAA, 42 CFR Part 2) and applicable legal and risk management standards.


Other Eligible Requirements:



  • Must complete a criminal history background check and receive authorization from the State of Oregon's Background Check Unit.
  • Must not be excluded from participation in federal healthcare programs, including but not limited to listings on the Office of Inspector General (OIG) List of Excluded Individuals/Entities and the System for Award Management (SAM) exclusion list.
  • Must have an active driver's license, current insurance, a reliable vehicle and ability to meet VOA Oregon's and VOA Oregon's insurer's driving standards to travel between worksites and meetings.
  • Must be legally authorized to work in the United States without sponsorship.


Duties and Responsibilities:



  • Negotiate, execute, and manage contracts across funding, carrier, vendor, and service types to ensure alignment with organizational goals, legal compliance, and risk management standards.
  • Serve as the organization's primary point of contact for contract development and negotiation, initiating close-out, extension, or renewal in compliance with policies and timelines.
  • Lead internal coordination on contract terms, special provisions, insurance, indemnification, credentialing, and compliance documentation requirements.
  • Develop and maintain standardized contract review, approval, and documentation procedures to ensure transparency and audit readiness.
  • Assess contracts for potential legal, financial, and operational risk, advising leadership on mitigation strategies and securing required approvals.
  • Maintain accurate and current documentation of contracts, credentialing, and compliance-related obligations to ensure contract fulfillment and renewal readiness.
  • Collaborate with Finance, Billing, and Quality departments to ensure contracts support reimbursement, performance reporting, and accreditation needs.
  • Maintain provider credentialing with Coordinated Care Organizations and insurance networks to support timely service authorization and billing.
  • Partner with program and executive leaders to identify new funding or service agreement opportunities and to ensure contract terms reflect organizational priorities.
  • Serve as a liaison with legal counsel as needed to review and refine contract language and resolve complex issues.
  • Monitor contract performance metrics and deadlines to ensure contract terms are met and proactively address non-compliance or underperformance.
  • Develop internal trainings or guidance documents to educate staff on contract review processes, compliance requirements, and key provisions.
  • Support internal audit and compliance efforts by ensuring contract records, approvals, and renewals meet funder and regulatory documentation standards.
  • Complete additional tasks as assigned by CFO and executive leadership to support overall operations and organizational strategic goals.


Knowledge, Skills, and Abilities:



  • Knowledge of federal, state, and local contracting regulations, insurance standards, indemnification principles, and healthcare-related compliance frameworks.
  • Knowledge of contract management systems and best practices for document control, audit trails, and version tracking.
  • Knowledge of HIPAA, 42 CFR Part 2, and other regulations affecting confidentiality and credentialing within nonprofit and healthcare settings.
  • Knowledge of standard vendor terms, government funding contracts, and clinical services agreements to evaluate operational and legal risk.
  • Knowledge of grants and cooperative agreements to support alignment between contracts and funding requirements.
  • Knowledge of contract budgeting and forecasting methods, especially as they relate to multi-year or deliverables-based agreements.
  • Skilled in drafting, negotiating, and modifying contracts to reflect mutual interests while protecting organizational risk exposure.
  • Skilled in analyzing legal and financial terms to determine organizational impact, with the ability to summarize and communicate key issues to stakeholders.
  • Skilled in leading meetings and discussions with internal and external parties to resolve contract issues and build consensus.
  • Skilled in managing multiple contracts simultaneously while meeting deadlines and ensuring accuracy.
  • Skilled in designing and improving contract lifecycle processes, including template management, tracking systems, and renewal workflows to improve operational efficiency and minimize risk.
  • Skilled in using data to monitor contract performance, identify trends, and inform negotiation strategies.
  • Skilled in maintaining professional relationships with vendors, payers, and funders while advocating for organizational priorities.
  • Ability to interpret complex language, explain contractual concepts in plain terms, and support informed decision-making by program leadership.

Work Environment:Works in a professional office setting.This position will be assigned to work onsite at the administrative office, located at 3910 SE Stark Street, Portland, OR 97214. After completion ofthe onboardingperiod, the Contracts Director may be eligible to telework for a limited number of days per week, subject to supervisor and organizational approval.

Expected Hours of Work: This is a full-time, exempt position. Normal business hours are Monday through Friday, and the role is expected to average 40 hours per week. Evening or weekend hours may be required to meet organizational needs or respond to time-sensitive issues.
