Description
The Contracts/Subcontracts Manager III is a senior-level individual contributor responsible for independently managing the full contract lifecycle of prime contracts, subcontracts, and procurement agreements across government and commercial sectors. Position location is on-site in Colorado Springs, CO with potential to be hybrid in the future. This role requires extensive expertise in proposal development, contract award and administration, subcontract and procurement management, intellectual property (IP), and data rights negotiation. The ideal candidate is a skilled negotiator, problem solver, and strategic thinker who ensures contract execution aligns with business objectives, federal regulations (FAR/DFARS), and commercial practices The Contracts/Subcontracts Manager III will oversee a diverse portfolio, including:
- Proposal support and contract award for prime contracts and subcontracts
- Issuing and awarding subcontracts and purchase orders for government and commercial work
- Managing and negotiation prime contracts
- Negotiating IP, data rights, and proprietary information agreements
- Ensuring compliance with ITAR/EAR, CPSR, and procurement policies.
Duties and Responsibilities:
- Analyze solicitations (RFPs, RFQs, OTAs, SBIRs, IDIQs) to assess risk, compliance, and pricing strategies.
- Develop proposal documentation, teaming agreements, pricing models, and compliance matrices.
- Ensure proper flow-down of FAR/DFARS and commercial terms to subcontractors during proposal development.
- Assist in pre-award contract negotiations, ensuring favorable terms for pricing, performance, and IP protection.
- Independently draft, negotiate, and administer prime contracts, subcontracts, OTAs, and consulting agreements.
- Oversee the issuance and award of subcontracts and purchase orders for government and commercial work.
- Ensure compliance with FAR, DFARS, CPSR, and ITAR/EAR regulations in all contractual engagements.
- Manage contract modifications, extensions, and terminations, ensuring compliance with funding, scope, legal requirements, company policies, and processes.
- Maintain contract records and documentation for audit readiness and internal controls.
- Oversee procurement strategies, supplier evaluation, and subcontractor selection.
- Perform cost/price analysis, source justification, and subcontractor performance monitoring.
- Collaborate with finance and supply chain to ensure compliance with procurement regulations.
- Implement best practices for CPSR compliance in procurement and supplier agreements
- Negotiate IP clauses, data rights agreements, and proprietary information protections in contracts.
- Review software licenses, technical data rights assertions, and patent clauses to safeguard company assets.
- Ensure compliance with DFARS 252.227-7013, 252.227-7014, and commercial IP protections.
- Support technology transfer agreements, proprietary data handling, and trade secret protections.
- Ensure adherence to ITAR, EAR, and other export control regulations; support licensing, classification, and compliance efforts related to controlled goods, technology, or data.
- Identify and mitigate contractual risks, including funding issues, performance disputes, and regulatory compliance.
- Support contract modifications, REAs (Requests for Equitable Adjustments), claims, and terminations.
- Maintain audit-ready contract files to support DCMA CPSR, DCAA, and internal audits.
- Train internal teams on contracting procedures, IP/data rights, export controls, and regulatory requirements.
- Develop and standardize contract templates, policies, and compliance checklists.
- Act as the primary liaison between contracts, legal, finance, and operational teams.
- Utilize JAMIS or ERP systems for contract, procurement, and funding tracking.
- Maintain accurate data entry, reporting, and tracking of contract obligations, modifications, and deliverables.
Knowledge & Skills * Advanced knowledge of FAR, DFARS, CPSR, ITAR/EAR, and various contract types (Cost-Reimbursement, FFP, T&M, IDIQ, OTAs, SBIRs). * Expertise in IP and data rights negotiation, including technical data rights, software licensing, and trade secret protection. * Strong negotiation, problem-solving, and risk mitigation skills. * Ability to independently draft, review, and analyze complex contracts and agreements. * Experience with procurement and subcontract management, including CPSR compliance. * Proficiency in cost/price analysis, supplier evaluation, and subcontractor performance monitoring. * Excellent oral and written communication skills, including the ability to train and mentor internal teams. * Strong organizational skills with attention to detail and compliance requirements. * Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and experience with JAMIS or ERP systems. Experience & Education
- Bachelor's degree in Business Administration, Contract Management, Law, Supply Chain, or a related field (or a combination of education and 10+ years extensive relevant experience (e.g., 10+ years in contract management).
- 8-10 years of experience in contract/subcontract administration, including managing complex contracts and working with FAR/DFARS.
- Experience in pre-award and post-award processes, risk assessment, and contract closeout.
- Strong FAR/DFARS knowledge and experience with various contract types (Cost-Reimbursement, FFP, T&M, IDIQ, OTAs, SBIRs).
- IP and data rights negotiation experience, including technical data rights, software licensing, and trade secret protection.
- CPSR (Contractor Purchasing System Review) experience is highly desirable.
- ITAR/EAR export compliance experience is required.
- NCMA certifications (CFCM, CPCM, CCCM) or equivalent are a plus.
Salary Range: $120,000 to 145,000 The salary offered will be based on the selected candidate's qualifications - skills, education & experience - and the position level.
