Location: Remote (For Non-Local) or Hybrid (Local to NYC area) Position Summary: We are seeking a dynamic and experienced professional to join the Capital Rx Legal Department as a Contracts Manager. This role will serve as the Legal Department's primary liaison for the organization's Vendor Management Team, as well as support the Legal Department and Privacy Office through review of confidentiality and privacy agreements, among other assigned tasks. The successful candidate will be self-motivated, have a strong attention to detail, and be adept at balancing often competing priorities and deadlines. Previous experience working in-house in health care or technology-related industries is a big plus. This position reports to the Sr. Legal Counsel, Director of Privacy. Position Responsibilities:
- Be the day-to-day Legal Department liaison to the Vendor Management Team, working closely with representatives from Procurement, Finance, Compliance, Information Technology Security & Compliance, and others to ensure all third parties are properly vetted and agreements are aligned with organizational requirements.
- Review vendor contracts and legal documents including master service agreements (MSAs), software-as-a-service agreements (SaaS), work orders, statements of work (SOWs), amendments, terms and conditions, renewals, and terminations.
- Support the Legal Department and Privacy Office with responsibility for the review of confidentiality and privacy agreements (e.g., non-disclosure agreements (NDAs), business associate agreements (BAAs), data-sharing agreements (DSAs), and data protection agreements (DPAs)) relevant to both vendor and client relationships.
- Support the entire contract lifecycle, working with the Legal Operations Specialist to coordinate contract signature processes and ensure finalized agreements are delivered and filed appropriately within the appropriate repositories.
- Contribute to process improvements, standardization of contract templates, and development or enhancement of playbooks to streamline contract management and increase efficiency.
- Keep current with privacy legislation/regulations and industry trends relevant to the agreements under the role's domain.
- Support the Privacy Office's ongoing activities and initiatives including incident investigations, internal audits, monitoring, and training.
- Liaison between departments, coordinating and fielding legal requests, communicating updates and requirements, and providing contractual information in response to business inquiries.
- Support special projects and other duties as needed for the Legal Department and Privacy Office.
- Responsible for the adherence to the Capital Rx Code of Conduct including reporting of noncompliance.
Required Qualifications:
- Bachelor's degree or associate degree in paralegal studies OR Associate's degree and Paralegal Certificate OR equivalent combination of experience and education (one year of experience equals one year of education) required.
- 2+ years as a contracts manager and/or paralegal, preferably in a law firm or in-house corporate legal department setting.
- Demonstrated experience with contract drafting, negotiation, and administration.
- Demonstrated research, writing, and editing skills.
- Attention to detail & commitment to delivering high quality work product
- Excellent communication and interpersonal skills, with the ability to collaborate and influence stakeholders at all levels of the organization.
- Ability to work independently, with a willingness to pitch in on ad hoc projects as part of a team
- Demonstrated capability to handle multiple tasks and projects efficiently in a fast-paced and dynamic environment.
- Ability to maintain confidentiality, and to exercise discretion and good judgment.
- Passion to continuously develop and expand skills and knowledge base in a fast-growing company.
- Proficient in Microsoft Word and Outlook.
- Prior experience with Contract Lifecycle Management (CLM) software.
Preferred Qualifications:
- Demonstrated understanding of current data protection and privacy laws, with an emphasis on HIPAA, as well as CCPA/CPRA, and other state frameworks.
- CIPP or similar accreditation a plus.
- Prior experience with a health care provider, payer, or other health care related organization; OR prior experience with a tech-focused organization.
- JD is not required but would be considered.
