Iteris is seeking a Contracts Manager who will be part of a small nimble legal department and play a major role in managing contract activities across various business groups, ensuring compliance with company policies and procedures.

What you will be doing:




  • Draft, review, analyze, negotiate, and execute a variety of solicitations, contracts and agreements for the company's public agency business and commercial entity business
  • Responsible for ensuring various contracts of the company are in compliance with company policies and its legal tolerances
  • Review, identify, assess (legal and business liabilities/risks) and explain contracts and compliance requirements, including without limitation, NDAs, professional services standards requirements, consulting services, hardware procurement and software licensing
  • Identify, analyze and report any risks associated with contracts and communicate or escalate as needed
  • Negotiate directly with customer contracts or purchasing staff to reach consensus on standard and non-standard contracts
  • Draft, manage and train on company policies related to contract processes and procedures
  • Develop and draft standard contract form templates, such as Non-Disclosure Agreements, Teaming Agreements, Hardware Reseller/Distributor Agreements, SaaS/DaaS Agreements, and IT Agreements
  • Draft and recommend contractual provisions based on strategy discussions and organizational needs and expectations
  • Manage contract status reporting and attend business meetings as needed for projects (e.g., provide contract interpretation support)
  • Provide guidance to company personnel, such as project managers on contract matters and other employees in contracting practices and procedures
  • Manage personnel access of the company's contact management system and work with personnel to create and implement alert reports
  • Manages certain compliance and risk management matters, such as issuing insurance certificates for clients, bonds, support insurance program renewal process, professional engineering licenses, company registrations, and ensure company contacts and assets are in compliance with insurance policies
  • Attend business meetings as needed for projects (e.g., provide contract interpretation support)
  • Minimal travel requirements



What you need to be successful in this role:




  • BA/BS (four-year college or technical school) or Work Equivalent
  • Over seven (7) years of experience in government contracts
  • Over seven (7) years of contract and legal negotiations experience
  • Strong government contracts experience from proposal submission to successful contract execution
  • Demonstrated ability to negotiate a variety of contracts, with a focus on mutually beneficial terms
  • Proficient in drafting and negotiating terms, with a strong and comprehensive understanding of the importance of legal language and implications
  • Proven commitment to perform and remain focused on the company's strategies and objectives
  • Ability to support and manage company's risk management program
  • Ability to time manage shifting priorities and heavy volume of work
  • Strong oral and written communications skills
  • Detail oriented, even when under time constraints
  • Strong understanding of FAR/DFAR, a plus



Iteris anticipates paying between $110,000 and $130,000 for this role. However, actual pay offered may vary depending on job related knowledge, skills, and experience.
