Position Summary

Responsible for taking lead and supporting roles in drafting, negotiating and concluding contractual negotiations related to Oceaneering's business lines in the region in accordance with the company's global contracting principles and processes. Works in close collaboration with other Oceaneers across business units and functional departments to enable business and maximize profit in furtherance of the Company's strategic objectives and within its Mission, Vision, and Values. Responsible for delivery of regional contracting support to all Oceaneering business lines, procurement, supply chain and for supervision, management and development of team of regional Contracts Specialists.

  • Role provides the opportunity to work in a hybrid environment, working both virtually and in office in Houston, Texas at least three (3) days per week.

Duties & Responsibilities

ESSENTIAL

* Providing contract advice and services in connection with complex business transactions, including playing a key role in negotiating the terms and advising management regarding the commercial risks and deviations of such transactions.

* Advise Contract Specialists on drafting, review, negotiation and administration of contracts and subcontracts for the provision of onshore and offshore services and the domestic and international sale and purchase of goods in compliance with Oceaneering policies and procedures.

* Draft, review, and make recommendations to Assistant General Counsel regarding various commercial contracts and agreements and advise other legal, contracts, and/or commercial personnel on such matters.

* Contribute to the implementation, and enforcement of contracting policies, procedures and training as required by the Legal Department for application on a regional basis.

* Interface with bids-and-proposals, sales, supply chain and operations personnel to understand and contractually mitigate work-related risk.

* Liaise with Legal, Tax, Finance, Insurance and other internal departments on respective issues to ensure that all contracts comply with Oceaneering's contracting guidelines or other guidelines issued by the Legal Department.

* Maintain contracts files and database with respect to contracts reviewed.

* Support executive/senior and business unit management in applying contracting principles to understand, address, and mitigate risks associated with various scopes of work.

* Supervise, coach and mentor regional Contracts Specialists, including setting goals and objectives for team members for achievement of operational results in coordination with the Legal Department.

* Analyze revenues and expenses line against the department's budget.

* Assist in the preparation of budget and performance reports for Senior Management.

* Prepare presentations to present to Senior Executives.

* Maintain an awareness of relevant law and regulation in coordination with the Legal Department.

Qualifications

To be a successful candidate you would typically have broad qualifications, experience, skills and knowledge, including:

REQUIRED

* Expertise in legal terms and conditions developed through formal education or training programs; law degree from an accredited university strongly preferred.

* Fluent in English

* At least five (5) years' experience in commercial contracting with the oil and gas industry.

* Knowledge of indemnity structures and risk mitigation utilized in energy (including offshore oil and gas) service contracts is essential.

* Knowledge and experience drafting, reviewing, negotiating and administering complex contracting arrangements and negotiations.

* Prior team leadership and mentoring experience.

DESIRED

* Experience in US and international commercial contracts such as EPC, marine charter, drilling, manufacturing, technology, and other complex service and manufacturing offerings, including within the oil and gas industry.

* Excellent written and oral communication skills including the ability to effectively communicate with internal business clients, support staff, and with external resources such as outside counsel and other collaborators.

* Fluency in other languages is a plus, particularly Spanish and Portuguese.

* Strong individual initiative, discipline and commitment to superior performance and continuous improvement.

* Energy services and/or heavy manufacturing industry experience is preferred.

Additional Information

This position is Hybrid - Remote and will require commuting to a designated office. Hybrid work schedules are determined by the hiring manager based on business need.
